Terms of Use – ARN Booster Platform

These Terms of Use (“Terms”) govern your access to and use of the ARN Booster software platform (“Software” or “Platform”) provided by Rise 2 XL Private Limited (“Company”, “we”, “our”, or “ARN Booster”). By accessing or using the Software, the User (“you”, “your”, or “Subscriber”) agrees to be bound by these Terms.

If you do not agree with these Terms, you must not access or use the Platform.

1. Access & Authorised Use
   • Access to the Software is provided only to authorised Users who have been granted valid login credentials.
   • If you lose, forget, or suspect unauthorised access to your account, you must immediately notify ARN Booster.
     We shall not be liable for losses arising due to delays in reporting such incidents.
   • The Software may be used only:
     • Within India unless ARN Booster provides prior written approval for usage outside India;
     • By you and your authorised personnel to whom valid login access has been provided.
2. Prohibited Activities
   The User agrees not to:
   • Modify, copy, reverse engineer, disassemble, decompile, or otherwise attempt to derive source code of the Software;
   • Allow third-party access, including time-sharing, leasing, training, outsourcing, or service bureau arrangements without ARN Booster’s prior written consent;
   • Use the Software for any unlawful, harmful, or competitive activity.
3. Intellectual Property Rights
   • All intellectual property, ownership rights, and interests in the Software, system documentation, design, user interface, workflows, databases, and related materials remain the exclusive property of ARN Booster and its licensors.
   • These Terms do not transfer any ownership rights to the User. Only a limited, non-exclusive, revocable right to use the Software is granted.
   • You agree not to contest ARN Booster’s ownership or intellectual property rights now or in the future.
4. User Data Ownership
   • All data entered into the Software by the User (“User Data”) remains the exclusive property of the User.
   • ARN Booster does not claim ownership over User Data and processes it solely for the purpose of providing the services.
5. Confidentiality
   • ARN Booster agrees to treat all User Data as confidential.
   • Confidential information will not be disclosed except:
     • As required under applicable laws;
     • To employees or partners strictly on a need-to-know basis;
     • If authorised in writing by the User.
6. Upgrades & Modifications
   • ARN Booster may periodically update, modify, or enhance the Software at its discretion.
   • During upgrades, temporary unavailability may occur. ARN Booster will make reasonable efforts to avoid disruptions during business hours but does not guarantee uninterrupted service.
7. Usage During Trial Period
   During any free or trial period:
   • Data backup is not guaranteed;
   • Users may not receive prior notice of upgrades;
   • Saving of data may not always be possible;
   • Users are advised not to enter actual client information during the trial phase.
8. Data History Retention
   ARN Booster maintains transaction history for a period of five (5) years for active registered Users.
   Older data may be archived and will be made available upon request, subject to feasibility.
9. Refund Policy
   • Subscribers of the annual plan are entitled to cancel their subscription within a 15-day Cooling Period from the date of payment.
   • Refunds will be processed after deducting applicable TDS, GST, bank charges, and other expenses.
   • No refunds will be issued after the Cooling Period, under any circumstances.
10. Limitation of Liability
    • ARN Booster is not liable for any:
      • Loss of data due to user negligence,
      • Losses arising from unauthorised access due to delayed reporting,
      • Indirect, incidental, or consequential damages.
    • ARN Booster shall not be responsible for the accuracy of data imported from third-party systems (CAMS, KFintech, etc.).
11. Termination of Access
    ARN Booster reserves the right to suspend or terminate access if:
    • The User violates these Terms;
    • Misuses the Software;
    • Attempts unauthorised access or modification.
12. Governing Law & Dispute Resolution
    These Terms are governed by the laws of India.
    Any disputes shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh.
13. Changes to Terms
    ARN Booster reserves the right to modify these Terms at any time. Updated versions will be published on this page, and continued usage of the Platform constitutes acceptance of the revised Terms.
